What is Stamp Duty?
Stamp Duty is a tax you could be obliged to pay when you purchase a property or piece of land in England or Northern Ireland.
Stamp Duty must be paid when a freehold or leasehold property is bought, a property is bought as part of a shared ownership scheme, or when ownership of a property or piece of land is exchanged for a payment such as a mortgage.
In England, stamp duty is paid for commercial properties when the minimum value band of £150,000 is met. Stamp duty rates increase above the minimum value band according to the type of property and terms of sale.
How Does Stamp Duty Differ in Wales?
Introduced in Wales in 2018, the Land Transaction Tax (LTT) replaced Stamp Duty in Wales as a tax on residential and commercial property or land that is purchased or leased.
If the sale of a property was completed on or after April 1st 2018, and located in Wales, then the Land Transaction Tax must be paid and replaces the need to pay Stamp Duty in Wales.
Do You Pay Land Transaction Tax on Commercial Properties?
Yes, if the property in question meets the definition of a commercial property and meets or exceeds the current value threshold; over £225,000 as of December 2020, the Land Transaction Tax must be paid on that property.
What is Defined as a Commercial Property?
Retail buildings, office buildings, warehouse units and Industrial buildings are all classed as examples of commercial property under the Welsh property tax laws, with tenants conducting non-residential activities such as hotels, office spaces, retail shops, industrial buildings, public facilities etc.
Mixed use land or properties, such as those used for both business and residential use i.e. apartments above shops, are classed as commercial properties under the Welsh Land Transaction Tax.

How to Calculate Commercial Property Tax in Wales?
In Wales, the Land Transaction Tax for commercial properties has been split into four bands when purchasing a property or land for business use, with the property value determining the tax band.
As of December 22nd 2020, commercial property investments up to £225,000 in value receive 0% in Land Transaction Tax, with the highest valuation band at £1m and higher paying 6% in tax.

| £250,000 – £1m | 5% |
| £1m + | 6% |
As an example, if you invested in a new rental office space for your business and paid £240,000, your commercial property tax would not be applied until after the first £225,000. You would need to pay 1% tax on the remaining amount (£240k – £225k = £15k) which equates to £150.

Tax on Leasing a Commercial Property in Wales
The amount of tax payable on a commercial property lease in Wales is based on a multitude of factors, such as the length of the lease term, the annual rent, and any premium paid for the lease. The rates used to calculate the tax on commercial property in Wales is as follows:
When leasing a commercial property in Wales, Land Transaction Tax is still applicable and subject to three bands.

Tax on commercial properties differs again in Scotland and is referred to as Land and Building Transactions Tax (LBTT).
Rates differ in Scotland under LBTT laws with three value bands:
Up to £150k – 0% tax.
From £150k to £250k– 1% tax.
Above £250k – 5% tax.
